1. The TrueVortex Service

TrueVortex provides software and technology designed to help businesses manage, analyze, automate, and improve their growth and marketing activities.

Depending on your subscription and configuration, the service may include:

• Business knowledge management
• Customer communication workflows
• WhatsApp integrations
• Third-party integrations
• Business profile management
• Marketing and advertising insights

Features may vary by plan and may change over time.

2. Account Registration

You may need to create an account to use certain features.

You agree to:

• Provide accurate and current information
• Maintain the security of your account
• Keep your login credentials confidential
• Notify us of unauthorized access
• Use the service only for lawful purposes

You are responsible for activity conducted through your account unless caused by our failure to maintain reasonable security measures.

3. Business Accounts

TrueVortex is primarily intended for businesses and organizations.

If you create an account on behalf of a business, you confirm that you have authority to do so.

You are responsible for ensuring that your employees, contractors, agents, and other users comply with these Terms.

4. Your Data

You retain ownership of information, content, documents, business data, customer information, and other materials that you provide to TrueVortex ("Customer Data").

You grant us a limited, non-exclusive right to process Customer Data solely as reasonably necessary to:

• Store and transmit information
• Generate requested outputs
• Provide support
• Maintain security
• Prevent abuse
• Improve the service where permitted by applicable law and your agreement with us

We do not acquire ownership of your Customer Data merely because you use TrueVortex.

5. Third-Party Integrations

TrueVortex may allow you to connect third-party services.

You authorize TrueVortex to access information and perform actions through those services according to the permissions you grant.

You are responsible for ensuring that:

6. WhatsApp and Communications

Where TrueVortex provides WhatsApp or other messaging functionality, you are responsible for using those services in compliance with applicable laws and the relevant platform's policies.

You must not use TrueVortex to:

• Send unlawful communications
• Send deceptive or fraudulent messages
• Spam recipients
• Circumvent messaging platform restrictions
• Contact individuals without appropriate authorization or lawful basis
• Send prohibited content

You are responsible for obtaining any required consent and maintaining appropriate opt-out mechanisms where required.

We may suspend messaging functionality where we reasonably believe that it is being misused or that continued use may violate applicable law or third-party platform policies.

7. Artificial Intelligence

TrueVortex may provide features powered by artificial intelligence.

AI outputs may be incomplete, inaccurate, outdated, or inappropriate for a particular situation.

You acknowledge that:

• AI outputs should be reviewed before use
• AI-generated content may require editing
• AI recommendations are not guarantees of business outcomes
• You remain responsible for decisions made using AI outputs
• You should not rely solely on AI outputs for legal, financial, medical, regulatory, or other high-stakes decisions

TrueVortex does not guarantee that AI-generated recommendations will result in increased sales, customers, revenue, engagement, rankings, advertising performance, or other business outcomes.

8. Acceptable Use

You agree not to use TrueVortex to:

• Violate any applicable law or regulation
• Infringe intellectual property rights
• Violate another person's privacy
• Upload malicious software
• Attempt unauthorized access
• Interfere with the operation of the service
• Reverse engineer or attempt to extract source code except where permitted by law
• Circumvent usage limitations
• Scrape or systematically extract data from the service without authorization
• Use the service to send spam
• Conduct fraud or deceptive activities
• Impersonate another person or business
• Store or transmit unlawful content
• Abuse third-party integrations
• Attempt to bypass security controls

We may suspend or terminate access if we reasonably believe that your use violates these Terms or creates a security, legal, or operational risk.

9. Intellectual Property

TrueVortex and its underlying software, technology, designs, interfaces, workflows, trademarks, logos, documentation, and other intellectual property are owned by or licensed to TrueVortex.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or create derivative works from the TrueVortex platform except as expressly permitted by us or applicable law.

10. Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding TrueVortex, you grant us the right to use that feedback without restriction or compensation, provided that we do not thereby acquire ownership of your confidential Customer Data.

11. Subscription and Fees

Certain TrueVortex features may require payment.

Pricing, billing periods, usage limits, and included features will be presented when you purchase or subscribe to a plan.

Unless otherwise stated:

• Fees are payable in advance
• Fees are non-refundable except where required by law or expressly stated otherwise
• Taxes may apply
• Subscription fees may change upon reasonable notice
• Failure to pay may result in suspension or termination of access

If payment is handled by a third-party payment provider, additional terms may apply.

12. Free Trials and Promotional Access

We may offer free trials, credits, promotional plans, or limited access.

We may modify or discontinue promotional programs at any time, subject to applicable commitments already made to you.

Unless otherwise stated, promotional access does not create a commitment to provide the service indefinitely.

13. Service Availability

We will make reasonable efforts to keep TrueVortex available and reliable.

However, the service may occasionally be unavailable due to:

• Internet or telecommunications failures

14. No Guarantee of Business Results

TrueVortex provides technology, insights, recommendations, and automation.

We do not guarantee any particular business result.

Your results may depend on numerous factors, including:

• Your products and services
• Pricing
• Customer demand
• Competition
• Location
• Sales execution
• Marketing execution
• Advertising budgets
• Third-party platforms
• Market conditions
• The quality and completeness of information provided to TrueVortex

Use of TrueVortex does not guarantee increased revenue, sales, customers, leads, website traffic, rankings, engagement, or profitability.

15. Confidentiality

Each party may receive confidential information belonging to the other party.

The receiving party agrees to use reasonable measures to protect confidential information and to use it only for purposes related to the business relationship.

Confidential information does not include information that:

• Is publicly available
• Was already lawfully known
• Is independently developed
• Is lawfully received from another source without confidentiality obligations
• Must be disclosed by law

16. Suspension and Termination

You may stop using TrueVortex at any time.

We may suspend or terminate your account if:

• You materially breach these Terms
• You fail to pay applicable fees
• Your use creates a security risk
• Your use violates applicable law
• You abuse the service
• You misuse third-party integrations
• We are required to do so by law
• Continued provision of the service becomes commercially or technically impractical

Where reasonably practicable, we will provide notice before suspension or termination.

17. Effect of Termination

After termination, your right to use TrueVortex will cease.

Subject to applicable law, payment obligations, and our legitimate business requirements, we may delete Customer Data following termination.

You are responsible for exporting any information you need before terminating your account where export functionality is available.

Certain provisions of these Terms will continue after termination, including provisions relating to intellectual property, confidentiality, limitations of liability, indemnification, and governing law.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, TrueVortex is provided on an "as is" and "as available" basis.

We do not warrant that:

• The service will always be available
• The service will be error-free
• Information will always be accurate
• AI-generated outputs will be accurate
• Integrations will always function
• The service will meet every business requirement
• The service will produce a particular business result

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, TrueVortex will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, or data arising from or relating to your use of TrueVortex.

To the maximum extent permitted by law, our aggregate liability arising from your use of the service will be limited to the fees actually paid by you to TrueVortex for the service during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TrueVortex and its affiliates, officers, employees, and service providers from claims, losses, liabilities, damages, and expenses arising from:

• Your misuse of TrueVortex
• Your violation of these Terms
• Your violation of applicable law
• Your violation of third-party rights
• Customer Data supplied by you
• Your use of third-party integrations
• Communications sent through your account

21. Changes to the Service

We may modify, improve, add, or remove features from TrueVortex from time to time.

We may also discontinue particular features where necessary for technical, legal, commercial, or security reasons.

Where a material change substantially reduces the functionality of a paid service, we will make reasonable efforts to provide appropriate notice.

22. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the platform, website, email, or another reasonable method.

Your continued use of TrueVortex after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

23. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Subject to applicable law, disputes arising from these Terms or your use of TrueVortex shall be subject to the jurisdiction of the courts located in Bengaluru, Karnataka, India.

24. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not constitute a waiver of our right to enforce it later.

These Terms, together with any applicable order form, subscription agreement, data processing agreement, or other agreement expressly incorporated into them, constitute the agreement between you and TrueVortex regarding your use of TrueVortex.
